产品销售通用条款

General Terms and Conditions of Product Sales

 

1.  定义 Definitions

除本通用条款另有规定外,下列词语具有以下特定含义:

Unless otherwise provided in this General Terms of Sales of Goods, the following terms shall have the meanings set out below.

1.1   “卖方”系指上海魏茨环保科技有限公司。

        “The Seller” shall be Wetzel Technologies (Shanghai) Co., Ltd.

1.2   “买方”系指任何依照本条款购买卖方产品之公司、企业或个人。

        “The Buyer” shall be any company, enterprise or individual, who decided to purchase the goods under the terms and conditions of the General Terms.

1.3   “合同”系指以本通用条款为原则,卖方与买方就某一具体销售交易行为而签署的、明确该笔交易数量、价格、交付时间等内容的销售合同或协议。

        “The Contract” shall be each separate sales contract or agreement signed upon the principles of the General Terms by and between the Seller and the Buyer for the purpose of each specific transaction, in which the terms of quantity, price and delivery of the Goods shall be specified.

 

2.  适用范围 Application of the General Terms

2.1   除卖方与买方之间另有书面约定外,卖方所有货物之销售均应适用本通用条款。

        Unless otherwise agreed upon in writing by the Seller and the Buyer, all transactions of sales of the Goods shall be governed by the General Terms.

2.2   本通用条款中任何条款之无效将不影响其其他与之无关条款之效力。

        The invalidity of any provision of the General Terms shall not affect the validity of any other unrelated provisions of the same.

 

3.  价格和付款 Price and Payment

3.1   除另有约定,销售货物价格为未包含增值税的出厂价(卖方工厂),且未包含装车、运输、保险费用及关税。

        Unless otherwise specified, the price of the goods specified in the Sales Contract shall be the Ex-factory price without VAT, and does not include loading costs, transportation, insurance fee and customs duties.

3.2   买方应按照双方合同约定的付款条件按时将货款支付到卖方指定的账户。

        The Buyer shall pay the goods to the account designated by the Seller on time in accordance with the payment terms agreed in the contract between the parties.

3.3   买方只有在其反诉不具争议且已合法确立的情况下,才有权抵消或扣留支付款项。

        The Buyer is only entitled to set off or withhold payments if his counterclaims are undisputed and have been legally established.

 

4.  产品的交付及接收 Delivery and Acceptance of the Goods

4.1   卖方负责将货物运送至销售合同约定的交付地点并交予收货人。

        The Seller shall deliver the goods to the place of delivery agreed in the sales contract and deliver them to the consignee.

4.2   如买方变更交付地点或收货人的,应在双方约定的交货日期前三个工作日内以书面方式通知卖方,否则由此产生的责任由买方承担。同时,如买方变更交付地点及收货人导致卖方多支出的运费及其他费用的,这些费用均由买方予以承担。

        If the Buyer changes the place of delivery or the consignee, shall notify the Seller in writing within three working days before the delivery date agreed by both parties, otherwise the resulting responsibility shall be borne by the Buyer. At the same time, if the Buyer changes the place of delivery and the consignee, resulting in extra freight and other costs are borne by the Buyer.

4.3   除非合同另有约定,卖方可以分批分期交货,每批交货均应被视为构成一项独立交易,并受本通用条款之约束。

        Unless otherwise provided in the Contract, the Seller may deliver the Goods in installments. Each installment shall be regarded as a separate transaction and governed by the General Terms.

4.4   除非合同另有约定,买方接收货物后,应在卖方之送货单上签字确认;否则,卖方有权拒绝将货物移交买方。由此而产生之一切费用及逾期交货之责任应由买方承担。

        Unless otherwise provided in the Contract, the Buyer is obliged to confirm the acceptance of the Goods by signing the delivery note presented by the Seller. Otherwise, the Seller shall be entitled to refuse to hand over the Goods. The Buyer shall be responsible for the consequences of the delayed delivery and be liable for the consequent costs and expenses occurred therefrom.

4.5   除非合同另有约定,如果买方对货物数量和质量有异议,应分别于接收货物时当即和接受货物后一周内向卖方书面提出,逾期则视为卖方所交货物数量和质量符合本合同之约定。

        Unless otherwise provided in the Contract, the Buyer shall be obliged to declare in writing the discrepancies in terms of the quantities and quality of the delivered goods separately upon or within 7 days after the receipt of such, or otherwise it shall be deemed that the goods delivered by the Seller is in consistence with the Contract.

4.6   本合同项下卖方之发票,卖方如以挂号或特快专递(包括但不限于邮政EMS、顺丰快递)方式寄交买方,买方对发票缺失、错漏等任何异议应在收到该快递后三天内向卖方书面提出,逾期视为买方已收到符合合同要求的发票。

        The official invoice under this contract may be sent to the Buyer by registered mail or express mail, the Buyer shall notify the Seller such demurrals within three days upon receipt of express mail, in case there were any disagreements such as no invoice in envelop, mistakes in invoice. Otherwise, the Buyer is deemed having accepted the invoice.

 

5.  产品的所有权及风险的转移 Title and Risks Transfer

5.1   买方自提的货物,风险自货物在卖方所在地装运时起转移至买方。

        The risks of the Goods shall be passed onto the Buyer after the loading of the Goods on the Seller’s premise for “EX Works” orders.

5.2   如果买方未按约定在接货点接收货物,则视为买方违约,货物风险从买方应该接收货物时起转移至买方。

        If the Buyer fails to accept the goods at the receiving point as agreed under the Contract, such failure shall be deemed as a breach of the Contract. The risks of the goods shall be passed to the Buyer from the time it should accept the goods as agreed under the Contract.

5.3   货物的所有权在买方按合同规定如期支付全部货款后,才转移至买方。

        The title to the Goods shall pass from the Seller to the Buyer only after the Buyer has fulfilled its payment obligation in accordance with the Contract.

5.4   在买方未取得货物所有权之前,买方不得将货物抵押、质押、租赁、或将货物以任何方式转让给第三方,不得对货物作任何改变。

         As long as the title to the Goods remains with the Seller, the Buyer shall keep the Goods from any mortgage, lien, leasing, or pass the Goods to any third party in any means, and shall not be entitled to make any changes to the Goods.

 

6.  产品质量保证 Product Quality Assurance

6.1   销售合同项下产品的规格及技术标准,参照双方约定标准执行;若双方未约定标准,则按照卖方标准产品规格及技术标准执行。

        The specifications and technical standards of the products under the Sales Contract shall be implemented with reference to the agreed standards of both parties. If the two parties have not agreed on the standards, they shall be implemented in accordance with the Seller's standard product specifications and technical standards.

6.2   卖方对产品提供自交货之日起为期一年的质量保证。

        The Seller provides a one-year quality guarantee for the product from the date of delivery.

6.3   质量保证的除外情形:

        (1)   未按产品的技术要求进行安装、操作、使用的;

        (2)   买方人员或第三方人员故意的破坏或是疏忽导致的损坏;

        (3)   产品正常的损耗;

        (4)   未经许可的改装而造成的损坏;

        (5)   不可抗力导致的损坏;

        (6)   其他与卖方无关的情形。

Exclusions for quality assurance:

        (1)   Failure to install, operate and use according to the technical requirements of the product

        (2)   Damage caused by intentional destruction or negligence of the Buyer's personnel or a third party

        (3)   Normal wear and tear of products

        (4)   Damage caused by unauthorized modification

        (5)   Damage caused by Force Majeure

        (6)   Other situations not related to the Seller.

6.4   如发生确实为卖方产品的质量问题,在产品的质量保证期限内,卖方对有问题的产品进行修复或更换。

        In case of any quality problem which is indeed the Seller's product, the Seller shall repair or replace the defective product within the warranty period of the product.

 

7.  不可抗力 Force Majeure

7.1   “不可抗力”系指任何为一方所不能控制、不能预见或对其后果不能避免,致使该方不能履行其在本通用条款或其销售合同项下的义务的事件。不可抗力事件包括但不限于暴乱、战争、罢工、交通系统或公用设施中断、瘟疫、水灾、火灾、地震、台风、风暴、海啸或其它重大自然灾害、政府行为、法律规定或其适用的变化、以及在国际商务实践中通常被认定为不可抗力的事件。

        “Force Majeure” shall be any event beyond the control of the Seller or the Buyer, which is unforeseeable, or if foreseeable, and as a result of which such party is unable to perform its obligations under the General Terms or the Sales Contract. An event of Force Majeure includes, but not limited to, riot, war, strikes, failure or interruption of transportation or other utilities, epidemic, flood, fire, earthquake, typhoon, storm, tsunami or other major natural disasters, government action, a change in a provision of law or its application, and an event that is generally considered force majeure in international business practice.

7.2   如果一方因不可抗力事件而不能或延迟履行本通用条款或其销售合同项下任何义务,应于该不可抗力事件发生之日起十五(15)日内书面通知另一方, 并同时向另一方出具能有效证明该不可抗力事件发生的文件。

        If one party is unable or delayed to perform any obligations under the General Terms or the Sales Contract because of an event of Force Majeure, it shall notify the other party in writing within fifteen (15) days after the occurrence of such event of Force Majeure, and shall provide the other party with a document can effectively prove the occurrence of such event of Force Majeure.

7.3   因不可抗力事件使一方不能或延迟履行本通用条款或其销售合同义务而致使另一方发生损害或损失,一方无需承担责任,但是,一方应采取一切可能措施以减少或避免不可抗力的影响,并尽其努力尽快恢复履行其因不可抗力事件而无法正常履行的义务。

        In the event of Force Majeure, one party shall not be liable for any damages, increased costs or losses which another party may suffer by reason of such failure or delay of performance of the obligation under the General Terms or Sales Contract. The party shall take appropriate measures to minimize or remove the negative effects of the Force Majeure and within the shortest possible time, make an endeavor to resume performance of the obligation affected by Force Majeure.

 

8.  违约责任 Liability for Breach of Contract

8.1   在卖方实际交付前,如果任何一方单方面终止合同,应向另一方支付相当于合同货款总值百分之十(10%)之违约金;买方收货后,如不是由于卖方质量原因而退货的,卖方有权收取相当于退货产品货款总值百分之五十(50%)作为违约金;如果本合同项下产品涉及特殊型号或非标准规格之产品,卖方将收取该类产品的全部货款(100%)作为违约金。

        Before the Seller’s actual delivery, in case one party terminates the Contract unilaterally, the other party shall be entitled to be paid by the party at 10% of the purchase price as liquidated damages. After the Buyer receives the goods, if the goods are returned other than the Seller's quality reasons, the Seller has the right to collect 50% of the total value of the goods returned as liquidated damages. If the goods concerning special models or non-standard specifications under the Contract, the aforesaid liquidated damages shall be 100% of the total value of such goods.

8.2   如果买方逾期付款,除本合同或通用条款另有约定外,卖方有权向买方收取按日相当于逾期付款部分万分之三(0.03%)之违约金。

        In case the Buyer delays in effecting payment, unless otherwise agreed in the Contract or on the General Terms, the Seller has the right to collect from the Buyer an interest of 0.03% of the default payment for each day in delay.

8.3   如果卖方逾期交货,除本合同或通用条款另有约定外,买方有权向卖方收取按日相当于买方已支付货款的万分之三(0.03%)违约金。

        In case the Seller delays in delivery, unless otherwise agreed in the Contract or on the General Terms, the Buyer has the right to collect from the Seller a penalty of 0.03% for each day of delay calculated from amount which has been paid by the Buyer.

8.4   有下列情形之一时,卖方有权顺延交货期或依法解除合同:

        (1)   买方未按期支付预付款;

        (2)   买方未按期提供由其负责办理的文件或批文;

        (3)   买方未履行其它在交货前应履行之合同义务。

Unless the following circumstances, the Seller shall be entitled to postpone the delivery of the goods accordingly, or to terminate the contract unilaterally:

        (1)   The Buyer fails to effect prepayment as agreed;

        (2)   The Buyer fails to provide the documents or official licenses as specified on the Contract;

        (3)   The Buyer fails to perform other obligations before delivery as specified on the Contract.

8.5   基于买卖双方约定的交货日期,由于买方的原因导致卖方无法按期送货的,或是买方未按约定日期提货的,卖方将向买方收取未交货物价值的0.2%/天的仓储费用。因买方的原因超过约定的交货日期60天后,卖方可单方面取消订单,且不需要承担任何违约责任或违约金。

        Based on the delivery date agreed by the Buyer and the Seller, if the Seller cannot deliver the goods on schedule due to the Buyer's reasons, or if the Buyer fails to pick up the goods on the agreed date, the Seller will charge the Buyer a storage fee of 0.2% for each day of the value of the undelivered goods. After 60 days beyond the agreed delivery date due to the Buyer’s reasons, the Seller can unilaterally cancel the order without being liable for any breach of contract or liquidated damages.

8.6   经双方证实确实为卖方产品的质量原因而造成买方损失的,卖方将承担赔偿责任,但其赔偿责任的上限为不超过有质量问题的产品货值的壹倍。除以上赔偿外,卖方不接受任何其他关于产品情况或者产品使用方面的陈述,无论明示或者暗示、保证及责任条款,并且在任何情况下卖方均不承担买方或者第三方的任何直接和间接的损失,也不承担任何连带赔偿责任。

        If it is proved by both parties that the quality of the Seller’s product has caused the Buyer’s loss, the Seller will be liable for compensation, but the upper limit of its liability shall not exceed 1 time of the value of the product with quality problem. In addition to the above compensation, the Seller does not accept any other statements about the product situation or product use, whether express or implied, warranty and liability terms, and in any case the Seller shall not bear any direct and indirect losses or joint liability of the Buyer or any third party.

 

9.  知识产权及保密 Intellectual property and confidentiality clauses

9.1   对于买方所购买的产品以及产品所涉及的所有文件,包括但不限于图纸、技术标准、产品说明、测试报告等,卖方均保留所有有关的知识产权,对于一切侵犯知识产权的行为,权利人都将通过有关途径进行索赔。

        For the products purchased by the Buyer and all documents related to the products, including but not limited to drawings, technical standards, product specifications, test reports, etc., the Seller shall retain all relevant intellectual property rights, and the right holder shall claim for any infringement of intellectual property rights through relevant channels.

9.2   保密信息是指一方拥有、取得、委托他人为其开发或者由他人向其提供的,并且该方认为具有保密性或专属性的所有技术信息、交易信息或商业信息,包括但不限于有商业意义的商业秘密、本通用条款和适用于本通用条款的所有销售合同、资料、知识产权、设计、工艺、图纸、技术、检测方式、测试数据或报告、专有技术、供应来源、专利情况,无论上述信息是否附有“保密”标签,也无论其是否具有其它“保密”标识。

        Confidential Information means all the technical information, trade information or business information which one party under the contract possesses, obtains, entrusts other party to develop for it or be provided by other party and the party deems confidential or exclusive, including but not limited to any trade secrets, the General Terms and all sales contracts that are applicable to the General Terms, data, intellectual property rights, design, process, drawings, technology, testing methods, test data or reports, proprietary technology, sources of supply, patents, regardless of whether the above information is attached with a "confidential" label, or whether it has other "confidential" signs.

9.3   合同双方互为保密信息的提供方和接受方,负有保密义务,承担保密责任。合同双方中任何一方未经对方书面同意不得向第三方公开和披露任何保密信息或以其他方式使用保密信息。

         Both parties represent to the other party as the provider and receiver of confidential information, and thus both undertake confidentiality obligations and liabilities. Neither Seller nor Buyer shall disclose or make public any confidential information to a third party or otherwise make use of the confidential information without the written approval of the other party.

 

10.  通用条款的生效 Effectiveness of the General Terms

10.1   双方兹确认,对所有本通用条款均进行了充分协商,完全理解了所有条款的含义,并接受和认可所有条款。本通用条款自双方签署销售合同之日起生效,销售合同正本壹式贰份,由买卖双方各执壹份。

          It is confirmed that every clause hereof, has been completely discussed, understood and accepted by both parties. The General Terms shall come into effect upon the signing of the sales contract by both parties. The original copy of the sales contract shall be in two copies, one for each party.

10.2   本通用条款以及依据本通用条款签订的销售合同的内容以中、英文制成,两种文字具有同等效力,如果任何条款之中、英文有歧义,则应以中文为准。

          The General Terms shall be written in Chinese and English. Both language versions are equally authentic. If there is any inconsistency between the two versions, the Chinese version shall prevail.

10.3   本通用条款不得以口头方式修改,而须经双方签署书面文件后方可修改。

          This General Terms shall not be changed verbally, but only by a written instrument signed by the Parties.

 

11.  法律适用及争议解决 Governing Law and Settlement of Disputes

11.1   本通用条款的解释、效力及履行适用中华人民共和国法律。

          The interpretation, validity and performance of the General Terms shall be governed by the laws of the People ’s Republic of China.

11.2   买卖双方应通过友好协商解决其争议,协商不成,应向卖方所在地有管辖权之法院提起诉讼。

          The Seller and Buyer shall settle their dispute through friendly negotiation. Should such settlement cannot be reached, any party can file the case with the court located in the seat of the Seller with jurisdiction.

 

12.  其他条款 Miscellaneous

12.1   如果一方未行使或延迟行使其在本条款或合同项下的某项权利、权力或特权,不构成该方对此项权利的放弃,并且单独或者部分行使某项权利、权力或特权,并不妨碍其行使其他权利、权力或特权。

          Either Party's failure to exercise or delay in exercising any right, power or privilege under this General Terms or Contract shall not operate as a waiver thereof, and any single or partial exercise of any right, power or privilege shall not preclude the exercise of any other right, power or privilege.

12.2   本通用条款如有未尽事宜,双方另以书面形式订立补充协议。

          If there are any unresolved matters in the General Terms, the two parties shall enter into a supplementary agreement in writing.
